Please read these Terms and Conditions ("Terms") carefully before using the services provided by Executive Drywall ("Executive Drywall," "we," "us," or "our"). By engaging our services, you ("you," "the Client") agree to be bound by these Terms.

1. Agreement and Scope of Work:

All services provided by Executive Drywall are subject to a written estimate or proposal ("Proposal") outlining the scope of work, materials, and pricing.The Proposal, upon your acceptance (written or implied, as outlined in the Proposal), forms a binding agreement between you and Executive Drywall.Any changes to the scope of work after acceptance of the Proposal must be documented in a written Change Order, agreed upon and signed by both parties, which may result in adjustments to the price and project timeline.

2. Pricing and Payment Terms:

The pricing for services will be as detailed in the Proposal. Unless otherwise specified, all prices are in Canadian Dollars (CAD) and are subject to applicable taxes (GST).A payment schedule will be outlined in the Proposal. Typically, this may include an initial deposit, progress payments based on milestones, and a final payment upon completion of the work.Failure to adhere to the payment schedule may result in a suspension of work until payment is received.Executive Drywall reserves the right to charge interest on overdue invoices at a rate of [Specify Interest Rate]% per month or the maximum rate permitted by Alberta law.You are responsible for all costs associated with the project, including but not limited to the agreed-upon price for services and any approved Change Orders.

3. Client Responsibilities:

You are responsible for providing clear access to the worksite during agreed-upon working hours.You are responsible for ensuring the worksite is free from obstructions and is in a safe condition for our personnel to work.Unless explicitly included in the Proposal, you are responsible for hiring and managing other trades (e.g., electricians, plumbers) and ensuring their work is completed in a timely manner to avoid delays to Executive Drywall's schedule.You are responsible for making timely decisions on selections (e.g., fixture locations, paint colors) that may impact the project timeline.You are responsible for securing any necessary permits or approvals required for the work, unless otherwise agreed upon in writing.

4. Executive Drywall Responsibilities:

Executive Drywall will perform the services outlined in the Proposal with reasonable skill and care, in accordance with industry standards and applicable building codes in Alberta.We will use materials as specified in the Proposal or agreed upon in writing.We will maintain a safe working environment for our personnel.We will communicate progress updates to you as agreed upon.

5. Project Timeline and Delays:

Project timelines outlined in the Proposal are estimates and are subject to various factors beyond our control, including but not limited to material availability, weather conditions, unforeseen site conditions, and delays caused by other trades (for which the Client is responsible).Executive Drywall will make reasonable efforts to adhere to the estimated timeline and will communicate any significant delays to you in a timely manner.Executive Drywall is not responsible for delays caused by the Client's failure to fulfill their responsibilities or by other trades not directly contracted by us.

6. Change Orders:

Any requests for changes to the scope of work must be submitted in writing.Executive Drywall will provide a written Change Order outlining the impact on price and timeline, which requires your written approval before work on the change can commence.Verbal requests for changes will not be binding.

7. Warranty:

Executive Drywall warrants that the workmanship provided will be free from defects for a period of [Specify Warranty Period, e.g., one year] from the date of substantial completion, under normal use and conditions.This warranty does not cover issues arising from:Normal wear and tear.Improper maintenance by the Client.Structural defects in the property.Damage caused by third parties or natural events.Materials not supplied by Executive Drywall (unless the defect is due to improper installation by us).Any warranty claims must be submitted in writing within the warranty period. Executive Drywall reserves the right to inspect the alleged defect and determine the appropriate remedy, which may include repair or replacement at our discretion.

8. Limitation of Liability:

To the maximum extent permitted by Alberta law, Executive Drywall's total liability to you for any claim arising out of or relating to the services provided shall not exceed the total amount paid by you to Executive Drywall under the agreement.Executive Drywall shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including but not limited to loss1 of use, loss of profits, or business interruption.

9. Termination:

By the Client: You may terminate the agreement with written notice if Executive Drywall materially breaches these Terms or the Proposal and fails to cure such breach within a reasonable time. You may be responsible for payment for work completed up to the date of termination and any reasonable costs incurred by Executive Drywall.By Executive Drywall: We may terminate the agreement with written notice if you materially breach these Terms or the Proposal, including failure to make timely payments, or if the worksite becomes unsafe or inaccessible. You will be responsible for payment for work completed up to the date of termination and any reasonable costs incurred by Executive Drywall.

10. Governing Law and Jurisdiction:

These Terms and the agreement shall be governed by and construed in accordance with the laws of the Province of Alberta, Canada, without regard to its conflict of2 law provisions.Any legal action or proceeding arising out of or relating to these3 Terms or the agreement shall be exclusively brought in the courts of the Province of Alberta.

11. Entire Agreement:

These Terms, together with the Proposal and any signed Change Orders, constitute the entire agreement between you and Executive Drywall and supersede all prior or contemporaneous communications and proposals, whether oral or written.

12. Severability:

If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall remain in full force and effect.
